Statement of Partnership Authority Registration:
Filing is optional, but mandatory if partnership intends
to hold real estate in its name. Initial registration is
with the Secretary of State. A certified copy must also
be filed with the clerk of any county in which the partnership
owns real estate. (Section 61-1-105).

Registration of business name requirements:
Registration is optional. Tennessee does not have a
fictitious name statute, but allows an individual to

The applicant must register with the Secretary of State.

Business name registration fee: $20.00
Term of registration: Ten years. (Section 47-25-505).
Name requirements: The statute is exhaustive, stating
that the trade name cannot be immoral, deceptive,
or scandalous. Please refer directly to the statute. (Section
47-25-502).
Registration application requirements: The signed
and verified application must include the name of the
owner(s), the business address of the owner(s), the
type of business transacted, the date when the name
was first used, a statement that the owner(s) has the
exclusive right to use the name, and three copies or
specimens of the name. (Section 47-25-503).
