The Sales Agency Agreements include three variations: one between a Broker and Seller, one that is exclusive and one is non-exclusive. In general, a Sales Agency Agreement is an agreement between two parties; the Principal who is requiring services, and the Agent, who is agreeing to sell the products or services of the Agent. An agreement is important because it will memorialize the mutual expectations of the parties. The difference between an exclusive and opposed to a non-exclusive agreement is that in an exclusive agreement, no other person or company can hold the rights set out in the agreement. In a non-exclusive agreement the Principal may have other similar arrangements with individuals or companies.
In this combo package you will also receive a short form Distribution Agreement, a long form Distribution Agreement that is non-exclusive, and a long form that in exclusive. A Distribution Agreement is made between the supplier and manufacturer to sell and distribute the particular item being manufactured. In business it is imperative to have your transactions and agreements well documented. Rest assured that your agreements will be well drafted and comply with the laws of your state.
Just some of the key provisions in these documents are:
- Sales Agreements: Sets out the key provisions regarding the items to be sold and the terms of payment, and term of the agreement;
- Exclusivity: The documents will designate (depending on which you use) whether it will be an exclusive or non-exclusive agreement.
- Distribution Agreements: Defines the relationship between the parties and the terms of the agreement include price and payment terms, and territory.
- Exclusivity: User can choose between agreements depending on whether the agreement is exclusive or non-exclusive.

Frequently Asked Questions
This combo package includes various Sales Agency Agreements, both exclusive and non-exclusive, as well as short and long form Distribution Agreements. Each document is designed to cover essential aspects of sales and distribution relationships.
Yes, all forms included in this package are drafted to comply with the laws of California, ensuring that they are legally enforceable and valid.
Absolutely! While these forms provide a solid foundation, they can be tailored to fit the unique requirements of your business and the specific terms you wish to include.
An exclusive agreement grants one party sole rights to sell or distribute a product, while a non-exclusive agreement allows multiple parties to have similar rights. This distinction can significantly impact your business strategy.
The choice between exclusive and non-exclusive agreements depends on your business model and goals. If you want to ensure that no other party can sell your product in a certain area, an exclusive agreement may be appropriate.
While these forms are designed to be comprehensive and compliant, it is always advisable to consult with a legal professional to ensure that they meet your specific needs and circumstances.
Is This Form Right For You?
Use This Form If:
- Individuals who operate a business and need to formalize their sales arrangements can benefit from this combo package. By using these agreements, they can ensure that both parties understand their rights and obligations, reducing the risk of disputes.
- Situations requiring a clear delineation of roles between a supplier and a distributor are ideal for these forms. This package provides the necessary documentation to establish the terms of distribution, ensuring that both parties are aligned on pricing and territory.
- To comply with state laws governing sales and distribution, businesses can utilize these agreements. The forms are designed to meet legal standards, providing peace of mind that their contracts are enforceable and valid.
- For those entering into exclusive sales arrangements, this combo package offers the necessary documentation to protect their interests. By clearly defining exclusivity, businesses can prevent competitors from encroaching on their market.
- Companies looking to streamline their contract management can use this comprehensive package to save time and resources. Instead of drafting agreements from scratch, they can rely on these pre-drafted forms that are tailored for their needs.
Do Not Use If:
- – This form is not appropriate for businesses that operate outside of California, as the agreements are tailored to comply with California law. Using them in another jurisdiction may lead to legal complications.
- – If your business model does not involve sales representation or distribution, these forms may not be suitable. They are specifically designed for situations where products or services are being sold or distributed.
- – In cases where you require highly specialized terms or conditions that are not covered by these standard agreements, it may be better to draft a custom contract. These forms may not address unique business needs adequately.
- – If you are entering into an informal agreement or handshake deal, these formal contracts may be unnecessary. However, it is generally advisable to document any business agreement to avoid misunderstandings.
- – For businesses that are not ready to commit to a sales or distribution relationship, using these forms prematurely could lead to obligations that are not yet desired or feasible.
