The Sales Agency Agreements include three variations: one between a Broker and Seller, one that is exclusive and one is non-exclusive. In general, a Sales Agency Agreement is an agreement between two parties; the Principal who is requiring services, and the Agent, who is agreeing to sell the products or services of the Agent. An agreement is important because it will memorialize the mutual expectations of the parties. The difference between an exclusive and opposed to a non-exclusive agreement is that in an exclusive agreement, no other person or company can hold the rights set out in the agreement. In a non-exclusive agreement the Principal may have other similar arrangements with individuals or companies.
In this combo package you will also receive a short form Distribution Agreement, a long form Distribution Agreement that is non-exclusive, and a long form that in exclusive. A Distribution Agreement is made between the supplier and manufacturer to sell and distribute the particular item being manufactured. In business it is imperative to have your transactions and agreements well documented. Rest assured that your agreements will be well drafted and comply with the laws of your state.

- Sales Agreements: Sets out the key provisions regarding the items to be sold and the terms of payment, and term of the agreement;
- Exclusivity: The documents will designate (depending on which you use) whether it will be an exclusive or non-exclusive agreement.
- Distribution Agreements: Defines the relationship between the parties and the terms of the agreement include price and payment terms, and territory.

- – If the parties involved are not operating within the District of Columbia, these forms may not comply with the legal requirements of other jurisdictions. It is essential to use forms that are tailored to the specific state laws applicable to the parties.
- – In situations where the business relationship is temporary or short-term, a simpler agreement may be more suitable than a comprehensive Sales Representative & Distribution Agreement. Such cases may not require the detailed provisions included in this combo package.
- – If the parties are negotiating terms that involve complex legal issues or significant financial stakes, it may be advisable to consult with a legal professional rather than relying solely on these standard forms.
