Name requirements: The official name must contain the words “Limited Liability Company,” “Limited Company,” or the abbreviations “LLC,” “ L.L.C.,” “LC,” or “L.C.” The word “Limited” may be abbreviated to “Ltd.” and the word “Company” may be abbreviated to “Co.” The name must contain 80 characters or less. (Section 14-11-207). Names are reservablefor 30 days for $25. The same or a different applicant may renew the reservation for an additional 30 days and $25 fee if the Articles of Organization have not been filed. (Section 14-11-208).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 14-11-203).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) name and address of each organizer, (3) registered agent name and office address (including county), and (4) the mailing address of the company’s principal place of business. (Sections 14-11-203, 14-11-204).
