Name requirements: The official name must contain the words “Limited Liability Company” or the abbreviation “LLC” or “L.L.C.” The word “Limited” may be abbreviated to “Ltd.” and the word “Company” may be abbreviated to “Co.” (Section 428-105). A company name may be reserved for 120 days for a fee of $10. (Section 428-106).
Organizer requirements: A limited liability company may be organized by one person or entity. The organizer need not be a member. (Section 428-202).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) mailing address of company’s initial principal office, (3) registered agent name and office address, (4) organizers’ names and addresses, (5) duration of company, if less than perpetual, (6) whether the company is to be managed by managers, (7) if the company is to be managed by managers, the name and address of each initial manager, and the number of initial members, or if the company is to be managed by members, the name and address of each initial member, (7) whether the members of the company are to be liable for its debts and obligations under Section 428-303(c), and (8) any additional matters. (Section 428-203).
