Filing Fee: $100 if Articles are typed and there are no attachments; $120 if Articles are not typed or there are attachments.
Name requirements: The official name must contain the words “Limited Liability Company,” “Limited Company,” or the abbreviations “LLC,” “L.L.C.,” “L.C.,” or “LC.” The word “Limited” may be abbreviated to “Ltd.” and the word “Company” may be abbreviated to “Co.” If the company will offer professional services, the company name must end with the words “Professional Company” or the abbreviations “PLLC” or “P.L.L.C.” (Section 53-602). A company name may be reserved for four months for a fee of $20.
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 53-607).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) registered agent name and office address, (3) whether the company will be managed by managers or members, (4) the names and addresses of one or more of the managers if managed by managers, or the names and addresses of one or more of the members if managed by members, (6) if the company will render professional services, the principal profession which members are duly authorized or licensed to practice, and (7) any additional matters.
