- Situations requiring the formation of an LLC often arise when entrepreneurs want to limit their personal liability while conducting business. By filing the Articles of Organization, they can protect their personal assets from business debts and liabilities.

Do Not Use If:
- – This form is not appropriate for individuals looking to establish a sole proprietorship, as sole proprietorships do not require Articles of Organization. Instead, they can operate under their own name or a fictitious name without formal registration.
- – If a business is already established and does not need to change its legal structure, filing new Articles of Organization is unnecessary. Existing LLCs should maintain their current documentation and compliance without re-filing.
- – For businesses that are not based in Illinois, this form is not suitable. Each state has its own requirements and forms for LLC formation, and using Illinois documents in another state may lead to legal complications.
- – In cases where a business is being dissolved or is no longer operational, filing Articles of Organization is not relevant. Instead, the focus should be on the dissolution process and related documentation.
