Name requirements: The official name must contain the words “Limited Liability Company” or the abbreviations “LLC or “L.L.C.” The abbreviations “Ltd.” and “Co.” are not allowed. (Section 180/1-10). A company name may be reserved for 90 days for a $300 fee. (Section 180/1-15).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 180/5-1).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) the address of the company’s principal place of business, (3) company purpose (general “all purpose” clause is acceptable), (4) registered agent name and office address, (5) the names and addresses of the initial managers if managed by managers, (6) the names and addresses of the initial members if managed by members, (7) the latest date (if any) on which the company is to dissolve, (8) the names and addresses of the organizers, and (9) any additional matters. (Section 180/5-5(a)).
