Name requirements: The official name must contain the words “Limited Liability Company” or the abbreviations “LLC” or “L.L.C.” The name may contain the name of a member or manager. (Section 23-18-2-8). A name may be reserved for 120 days for a $20 fee. The reservation is renewable. (Section 23-18-2-9).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 23-18-2-4, 23-18-1-17).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) registered agent name and office address, (3) duration of company, if less than perpetual, and (4) whether the company will be managed by managers or members. (Section 23-18-2-4).
Annual report requirement: Yes, biennial report to Secretary of State. (Section 23-18-12-11). $30 filing fee if filed in writing, $21 filing fee if filed electronically.
