Title of filing: Articles of Organization.
Filing Fee: $100
Name requirements: The official name must contain the words “Limited Liability Company” or the abbreviations “LLC,” “L.L.C.,” “L.C.,” or “LC.” (Section 1-502(b)). A company name may be reserved for 30 days for a fee of $25. (Section 1-505).
Organizer requirements: A limited liability company may be organized by one person. The organizer must be a natural person. (Sections 4A-206(a)(1), 4A-202(a)).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) company purpose, (3) registered agent name and office address, and (4) any additional matters. (Section 4A-204).
Annual report requirement: Personal Property Return due annually to Department of Assessments and Taxation.
Publication requirement: No.
Effective date of limited liability company organization: On the date of official approval of Articles of Organization, the company becomes a legal entity and the members are shielded from personal liability. In addition, the effective date may be delayed to a date stated in the Articles of Organization. (Section 4A-202(b)).
Membership requirements: Minimum number required is one. The member may be a natural person or a business entity. (Section 4A-101(n)(1)).
