Frequently Asked Questions

An S-Corporation is a special type of corporation that meets specific Internal Revenue Code requirements, allowing it to be taxed as a pass-through entity. This means that the corporation itself does not pay federal income taxes; instead, income is reported on the shareholders' personal tax returns.

To qualify for S-Corporation status in Maryland, your corporation must meet certain criteria, including having no more than 100 shareholders, all of whom must be U.S. citizens or residents. Additionally, the corporation must only have one class of stock.

The kit includes essential documents such as a checklist for S-Corporation status, notices for special shareholders meetings, affidavits, waivers, and minutes of meetings. These documents help ensure compliance with legal requirements.

Yes, an existing corporation can elect to become an S-Corporation by filing Form 2553 with the IRS and meeting all eligibility requirements. The S-Corporation Status Kit provides guidance on this process.

S-Corporations offer several tax advantages, including avoiding double taxation on corporate income and allowing profits and losses to pass through directly to shareholders. This can result in significant tax savings for business owners.
