Title of filing: Certificate of Formation.
Filing Fee: $50
Name requirements: The official name must contain the words “Limited Liability Company” or the abbreviation “LLC” or
“L.L.C.” It may contain the name of a member or manager. (Section 79-29-104). A company name may be reserved for 180
days for a fee of $25. (Section 79-29-105).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural
person, nor a member. (Section 79-29-205).
Certificate of Formation requirements: Certificate of Formation in Mississippi must contain the following: (1) name of
company, (2) registered agent name and office address, (3) duration of company, if less than perpetual, (4) if company will be
wholly or partly managed by managers, a statement to that effect, and (5) any additional matters. (Section 79-29-201(1)).
Annual report requirement: No.
Publication requirement: No.
Effective date of limited liability company organization: On the date of official approval of Certificate of Formation, the
company becomes a legal entity and the members are shielded from personal liability. The effective date may be delayed by up
to 90 days if so stated in the Certificate of Formation. (Section 79-29-201(2)).
