Name requirements: The official name must contain the words “Limited Liability Company,” “Limited Company,” or the
abbreviations “LLC,” “LC,” “L.L.C.” or “L.C.” A company name may not contain the abbreviation “Ltd.” (Section 347.020). A
company name may be reserved for 60 days for a fee of $25. The reservation is renewable twice. (Section 347.025).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural
person, nor a member. (Section 347.037)
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) company purpose (general statement of purpose is acceptable), (3) registered agent name and office address, (4) whether company will be managed by managers or members, (5) duration of company, (6) the name and address of each organizer, and (7) any additional matters. (Section 347.039).
Annual report requirement: No.
Publication requirement: No.
Effective date of limited liability company organization: On the date of official approval of Articles of Organization, the
company becomes a legal entity and the members are shielded from personal liability. The effective date may be delayed by up
to 90 days if so stated in the Articles of Organization. (Section 347.037(2)).
Membership requirements: Minimum number required is one. The member may be a natural person or a business entity.
