When two or more individuals become the owners of a for-profit business, it is not wise to rely on a handshake or spoken understanding. Formalizing your partnership arrangement in writing is vitally important to the success and profitability of a business. By agreeing on the terms of the partnership, and putting that agreement explicitly into writing, you are minimizing the chance of future confusion, conflict, and crisis and taking critical steps towards ensuring the smooth operation of your business.

By formalizing the particulars involved in the operation of your business from the outset-determining a myriad of crucial issues ranging from the division of work to profit sharing to conflict resolution to what happens in case of dissolution of the partnership-you are taking the steps necessary towards avoiding communication break-downs and setting a strong foundation for your business and your business relationship.

If you and your business partners do not use a Partnership Agreement, you will not only be putting yourself at a disadvantage in dealing with disputes when they arise, but you are risking misunderstandings which may then erupt into full-blown legal actions, which carry with them often devastatingly exorbitant costs, not to mention time, effort, hassle, and emotional and mental exhaustion.

Our attorney-prepared Nevada Partnership Agreement allows you to structure your partnership relationship in a way that best suits your business and preserves your rights. Moreover, as every state has specific guidelines governing such Partnership Agreements, you will need a form that is compliant with the laws of Nevada.

Is This Form Right For You?

Use This Form If:

  • Situations requiring a clear framework for decision-making and conflict resolution among partners can utilize this agreement. By establishing procedures for handling disagreements, partners can maintain a professional relationship and focus on business growth.
  • For those looking to formalize an existing partnership, this agreement serves as a crucial tool to document the terms and conditions agreed upon by all parties. It helps ensure that all partners are on the same page regarding their contributions and expectations.
  • Businesses planning to secure financing or attract investors may need a Partnership Agreement to demonstrate a well-structured operational plan. Investors often look for clear governance and profit-sharing structures before committing funds.

Do Not Use If:

  • โ€“ This form is not appropriate for partnerships that involve illegal activities. Engaging in unlawful business practices can lead to severe legal consequences that a Partnership Agreement cannot mitigate.
  • โ€“ If the partnership is informal and does not involve significant financial investments or risks, a formal Partnership Agreement may be unnecessary. In such cases, a verbal agreement might suffice.
  • โ€“ For partnerships that are meant to be temporary or project-based, a simpler agreement or contract may be more suitable than a comprehensive Partnership Agreement.
  • โ€“ In situations where partners have vastly different business philosophies or goals, it may be better to reconsider the partnership altogether rather than attempt to formalize it with an agreement that may not serve all parties well.
  • โ€“ If the partners are not willing to openly communicate and negotiate terms, creating a Partnership Agreement may not be effective. A lack of trust and transparency can undermine the agreement's purpose.
