Frequently Asked Questions
An S-Corporation is a special type of corporation that meets specific Internal Revenue Code requirements. It allows for pass-through taxation, meaning the corporation itself does not pay federal income tax, but income is reported on the shareholders' personal tax returns.
To qualify for S-Corporation status, your corporation must meet several requirements, including having no more than 100 shareholders, all of whom must be U.S. citizens or residents, and having only one class of stock.
The kit includes essential documents such as a checklist for S-Corporation status, notice of special shareholders meeting, affidavit of mailing, waiver of notice, minutes of the meeting, and resolution of shareholders.
This kit is specifically designed for use in New Mexico and complies with state laws. For other states, you would need to find a similar kit tailored to the specific legal requirements of that state.
Electing S-Corporation status can provide significant tax benefits, including avoiding double taxation on corporate income and allowing shareholders to report income on their personal tax returns, potentially at lower tax rates.

Do Not Use If:
- – This form is not appropriate for individuals or corporations that do not meet the eligibility requirements for S-Corporation status, such as having more than 100 shareholders or foreign shareholders.
- – If your business is structured as a sole proprietorship or partnership, this kit will not be applicable, as it is specifically designed for corporations seeking S-Corporation status.
- – Situations where a corporation is already classified as a C-Corporation and does not wish to change its tax status should avoid using this kit, as it is intended for those seeking to elect S-Corporation status.
- – In cases where the corporation has multiple classes of stock, this kit would not be suitable, as S-Corporations are limited to one class of stock.
- – If you are looking for general business formation documents rather than specifically S-Corporation status, this kit may not meet your needs.
