Frequently Asked Questions
An S-Corporation is a special type of corporation that meets specific Internal Revenue Code requirements. It allows income to be passed through to shareholders, avoiding double taxation at the corporate level.
To qualify for S-Corporation status, your corporation must meet certain criteria, including having no more than 100 shareholders, all of whom must be U.S. citizens or residents, and having only one class of stock.
The kit includes essential documents such as a checklist for S-Corporation status, notices for shareholder meetings, affidavits of mailing, and resolutions regarding S-Corporation status.
Yes, existing corporations can elect to be treated as S-Corporations by filing the appropriate forms with the IRS and meeting the necessary requirements outlined in the kit.
S-Corporations benefit from pass-through taxation, meaning that corporate income is not taxed at the corporate level but instead is reported on the individual tax returns of the shareholders, potentially lowering overall tax liability.

Do Not Use If:
- – This kit is not appropriate for individuals who are looking to form a different type of business entity, such as a Limited Liability Company (LLC) or a C-Corporation. Each business structure has its own set of requirements and implications that this kit does not address.
- – If your corporation has more than 100 shareholders or includes non-resident aliens, this kit will not be suitable as it is designed specifically for qualifying for S-Corporation status under IRS regulations.
- – Situations where the corporation has multiple classes of stock are also not appropriate for this kit. S-Corporations can only have one class of stock, and this kit does not provide guidance for those with complex stock structures.
- – For businesses that do not plan to elect S-Corporation status, such as those intending to remain as C-Corporations, this kit will not be relevant. The forms and information provided are specifically tailored for S-Corporation qualification.
