Title of filing: Articles of Organization.
Filing Fee: $50
Name requirements: The official name must contain the words “Limited Liability Company” or the abbreviation “LLC” or
“L.L.C.” (Section 63.094). A company name may be reserved for 120 days for $50. (Section 63.097).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural
person, nor a member. (Section 63.044).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) registered agent name and office address, (3) mailing address to which notices may be mailed until the company designates an address in its annual report, (4) if company will be managed by managers, a statement to that effect; (5) names and addresses of organizers, (6) duration of company (may be perpetual), (7) if the company will render professional services, a description of the services to be rendered, and (8) any additional matters. (Section 63.047).
