Name requirements: The official name must contain the words “Limited Liability Company” or the abbreviation “LLC” or
“L.L.C.” In addition, lower case letters may be used in the abbreviations. (Section 7-16-9). A company name may be reserved
for 120 days for a fee of $50. (Section 7-16-10).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 7-16-5, 7-16-2(20)).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) registered agent name and office address, (3) a statement whether, under the Articles and Organization and any written operating agreement made or intended to be made, the company is intended to be (a) treated as a partnership, (b) as a corporation, or (c) disregarded as an entity separate from its member for purposes of federal income taxation, (4) the address of the principal office of the company, if it has been determined at the time of organization, (5) whether the company will be managed by managers or members, and, if the company has managers at the time of its formation, the name and address of each manager, and (6) any additional matters. (Section 7-16-6).

Effective date of limited liability company organization: On the date of official approval of Articles of Organization, the
company becomes a legal entity and the members are shielded from personal liability. (Section 7-16-5(b)).
Membership requirements: Minimum number required is one. The member may be a natural person or a business entity.
(Section 7-16-2(16), (20)).
Other: The Articles may delay the effective date by up to 30 days if so stated in the Articles of Organization.
