The Sales Agency Agreements include three variations: one between a Broker and Seller, one that is exclusive and one is non-exclusive. In general, a Sales Agency Agreement is an agreement between two parties; the Principal who is requiring services, and the Agent, who is agreeing to sell the products or services of the Agent. An agreement is important because it will memorialize the mutual expectations of the parties. The difference between an exclusive and opposed to a non-exclusive agreement is that in an exclusive agreement, no other person or company can hold the rights set out in the agreement. In a non-exclusive agreement the Principal may have other similar arrangements with individuals or companies.
In this combo package you will also receive a short form Distribution Agreement, a long form Distribution Agreement that is non-exclusive, and a long form that in exclusive. A Distribution Agreement is made between the supplier and manufacturer to sell and distribute the particular item being manufactured. In business it is imperative to have your transactions and agreements well documented. Rest assured that your agreements will be well drafted and comply with the laws of your state.
Just some of the key provisions in these documents are:
- Sales Agreements: Sets out the key provisions regarding the items to be sold and the terms of payment, and term of the agreement;
- Exclusivity: The documents will designate (depending on which you use) whether it will be an exclusive or non-exclusive agreement.
- Distribution Agreements: Defines the relationship between the parties and the terms of the agreement include price and payment terms, and territory.
- Exclusivity: User can choose between agreements depending on whether the agreement is exclusive or non-exclusive.

Frequently Asked Questions
A Sales Representative Agreement is a legal document that outlines the relationship between a principal and an agent, detailing the terms under which the agent will sell the principal's products or services. It helps clarify expectations and responsibilities for both parties.
The choice between an exclusive and non-exclusive agreement depends on your business strategy. An exclusive agreement grants the agent sole rights to sell the product, which can be beneficial for commitment, while a non-exclusive agreement allows for multiple agents to sell the same product, offering broader market coverage.
Yes, the forms included in this combo package are designed to comply with the laws of South Carolina, ensuring that your agreements are legally valid and enforceable within the state.
Absolutely, while the forms provide a solid foundation, you can customize them to better suit your business requirements. However, it's advisable to consult with a legal professional to ensure that modifications remain compliant with applicable laws.
Key provisions typically include payment terms, duration of the agreement, territory of sales, exclusivity clauses, and the responsibilities of both parties. These elements are crucial for ensuring clarity and preventing disputes.
Is This Form Right For You?
Use This Form If:
- Individuals who are starting a new business may require a Sales Representative Agreement to formalize the relationship between the agent and the principal, ensuring that both parties understand their roles and responsibilities. This documentation helps prevent misunderstandings and provides a clear framework for sales activities.
- Situations requiring a Distribution Agreement arise when a manufacturer wants to expand their market reach through third-party distributors. By using this form, the manufacturer can outline the terms of distribution, including pricing and territory, which protects their interests while enabling growth.
- For those entering into exclusive sales arrangements, having a well-drafted agreement is crucial. This ensures that the agent has the sole rights to sell the products, which can enhance their motivation and commitment to promoting the product effectively.
- Companies looking to establish non-exclusive sales relationships can benefit from this combo package, as it provides flexibility in working with multiple agents. This can be particularly useful for businesses that want to diversify their sales channels without being tied to a single agent.
- Organizations that frequently engage in sales and distribution agreements will find this comprehensive package invaluable. It not only saves time and money but also ensures that all agreements are compliant with state laws, reducing legal risks.
Do Not Use If:
- – This form is not appropriate for individuals or businesses that do not intend to engage in sales or distribution activities. If there is no intention to sell products or services, a Sales Representative or Distribution Agreement would be unnecessary.
- – In cases where the parties have a pre-existing verbal agreement that is working effectively, formalizing the relationship with a written agreement may not be needed. However, it is generally advisable to document any business arrangement to avoid future misunderstandings.
- – If the parties involved are located in different states and the agreements do not comply with the laws of those states, using this form may not be suitable. It is essential to ensure that any legal documents are compliant with the relevant jurisdiction's laws.
- – For businesses that require highly specialized terms or unique arrangements not covered by standard agreements, this package may not meet their needs. Custom agreements tailored by legal professionals might be more appropriate in such cases.
- – If the business relationship is temporary or informal, such as a one-time sale or a casual arrangement, a formal Sales Representative or Distribution Agreement may be excessive and unnecessary.
