Is This Form Right For You?
Use This Form If:
- Individuals who wish to start a business in Vermont may require the Articles of Organization to formally establish their Limited Liability Company. This document is essential for legal recognition and helps protect personal assets from business liabilities.
- Situations requiring the formation of a new LLC will necessitate the completion of the Articles of Organization. Entrepreneurs looking to create a distinct legal entity for their business operations will find this kit invaluable in ensuring compliance with state laws.
- For those transitioning from a sole proprietorship to an LLC, drafting the Articles of Organization is a crucial step. This form provides the necessary legal framework to limit personal liability and enhance credibility with clients and partners.
- Business partners coming together to form an LLC in Vermont will need to prepare Articles of Organization to outline their business structure. This document serves as a foundational element for their partnership and is required for public registration.

Do Not Use If:
- – This form is not appropriate for individuals looking to establish a sole proprietorship, as sole proprietorships do not require Articles of Organization. Instead, they can operate under their personal name or a fictitious name without formal registration.
- – If you are forming a corporation instead of an LLC, the Articles of Organization will not suffice. Corporations require different documentation, such as Articles of Incorporation, to be filed with the state.
- – In cases where the business is already established and operating under a different legal structure, using this form may not be suitable. Existing entities may need to file amendments or different forms to change their structure.
- – For those seeking to establish a partnership, the Articles of Organization are not the correct document. Partnerships typically require a partnership agreement rather than LLC formation documents.
