Title of filing: Articles of Organization.
Filing Fee: $170 paper, $130 online
Name requirements: The official name must contain the words “Limited Liability Company,” “Limited Liability Co.,” or the abbreviations “LLC” or “L.L.C.” (Section 183.0103). A company name may be reserved for renewable 120-day periods for a fee of $15. (Section 183.0104).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 183.0201).
Articles of Organization requirements: Articles of Organization must contain the following: (1) a statement that the company is organized under Chapter 183 of the Wisconsin Statutes, (2) name of company, (3) registered agent name and office address, (4) if company will be managed by managers, a statement to that effect, (5) names and addresses of organizers, and (6) any additional matters. (Section 183.0202).
Annual report requirement: Yes, to Department of Financial Institutions. (Section 183.0120) $25 filing fee.
