What is a Stock Purchase Agreement?

A Stock Purchase Agreement is an agreement stating that the owner of shares of a stock (the “Seller”) consents to sell their stock to a buyer (the “Purchaser”).  This form is normally used for the stock of smaller corporations that may not be publicly listed on an exchange.

 A Stock Purchase Agreement often benefits both the buyer and the seller because it openly details expectations of the transaction.  It includes: the number of shares and the type of stock sold, the purchase price, and when the transaction will take place.
