This Demolition Agreement is a contract between a property owner and a contractor for the demolishing of buildings or structures. This agreement contains: i) a detailed description of the property and structures to be demolished; ii) dates of commencement and expected completion of the demolition; iii) party who will obtain all permits and licenses (including payment of fees); and iv) how much the contractor will be paid for the project.

It also sets forth how materials and debris from the demolition will be removed and that contractor will maintain all necessary insurance for the project, with the owner named as an additional insured party. Under this agreement the demolition contractor is considered an independent contractor and agrees to holder the owner harmless from any accidents, injuries or deaths suffered as a result of the demolition.

This Demolition Agreement contains:
  • Parties: Sets out the names of the contractor and the owner of the property to be demolished;
  • Property: Exhibit A to the agreement describes the specific property and structures to be demolished;
  • Labor/Materials/Debris: Contractor agrees to provide all demolition materials, including labor and equipment, and will remove all debris from the premises after the property is razed;

Demolition Agreement


AGREEMENT made on __________________[date] between __________________ Demolition Co., Inc., a corporation duly organized under the laws of the state of __________________, having its principal office at __________________ ("Contractor"), and __________________, Inc., a corporation duly organized under the laws of the state of __________________, having its principal office at __________________ ("Owner").
WHEREAS, Owner owns the property described on Exhibit "A," attached and made a part of this agreement;
WHEREAS, Owner desires to demolish all of the buildings situated on the property;
WHEREAS, Owner desires to engage Contractor to demolish these buildings; and
WHEREAS, the parties desire to enter into this Demolition Agreement with respect to this demolition.
NOW, THEREFORE, in consideration of the sum of ____________ and other good and valuable consideration, each to the other in hand paid, the receipt of which is hereby acknowledged, and intending to be legally bound, it is agreed between the parties, as follows:
1. Contractor agrees to demolish all of the buildings located on the property described on Exhibit A.
2. The Contractor will commence the demolition of the buildings on or before __________________[date], provided that the buildings are vacant. If vacant, the demolition of the structures must be completed no later than __________________[date].
3. The Contractor agrees: to provide all labor, materials, and equipment necessary to demolish the buildings; to contact all necessary utility companies and provide for the discontinuance and disconnection of service to the buildings; and to coordinate all activities connected with the demolition of the buildings.
4. The Contractor must obtain all necessary permits and licenses and pay all fees connected with the demolition work described in this agreement, in accordance with the requirements of the respective municipal, state, and/or federal agencies and other authorities having jurisdiction thereof.
5. The Contractor must remove all materials and debris from the razing of the buildings; the materials removed from the premises become the property of the Contractor and must be disposed of at no cost to Owner.
6. The Contractor may leave noncombustible materials, such as brickbats and plaster, in the basement as hereinafter limited. All combustible materials, such as wood, tar paper, wood furring, lathe, and the like, must be completely removed from the premises. If permitted by local and federal law, the basements must be backfilled with the noncombustible material hereinabove described, no higher than curb elevation.
7. Contractor must: do all necessary extermination work; provide adequate fire protection in accordance with the regulations of the agencies having jurisdiction thereof; and maintain and provide adequate protection of the area and not create any undue hazardous conditions in connection with the work.
8. Contractor will furnish to the owner bonds, permits, insurance certificates, and other evidence of compliance with requirements of the various agencies or departments having jurisdiction over the demolition of buildings prior to commencing the work.
9. Contractor agrees to provide and pay for a performance bond for the faithful performance of this Demolition Agreement in the sum of $ ____________, duly executed with a surety company in form and content acceptable to Owner.
10. Contractor must provide for itself and maintain at its own cost and expense until the completion of the work, naming Owner as additional insured, the following forms of insurance: Workmen's Compensation, Employer Liability insurance both in accordance with the laws of the state of __________________; Public Liability insurance with limits of liability in the sum of $ ____________ for injury to any one person and $ ____________ for any one accident; and Property Damage Liability in the sum of $ ____________. Contractor must furnish certificates of insurance with respect to the coverages referred to above; each insurance policy must contain an endorsement requiring the insurance carrier to give at least ____________ days prior notice of cancellation to Owner.
11. (Optional) Contractor acknowledges that it has been advised of and is familiar with the fact that ____________ has and maintains a right of way on the within described property and that proper precautions and measures will be taken by Contractor not to endanger or cause any damage to this property or right of way maintained by __________________.
12. Contractor acknowledges that it is an independent contractor and agrees to indemnify and save harmless Owner from and against any loss or expense by reason of any liability imposed by law upon the owner for damages because of bodily injuries, including death at any time resulting therefrom, accidents sustained by any person or persons, or on account of damage to property arising out of or in pursuit of the performance of this Demolition Agreement, whether the injuries to persons or damage to property are due or claimed to be due to any negligence of Contractor, Owner, or their agents, servants, or employees, or of any other person.
13. Contractor agrees that it will not assign or subcontract any part of the work to be performed under this Agreement without Owner's prior written approval.
14. Owner agrees to pay Contractor for the work as provided herein the sum of $____________. ____________ percent of this amount must be paid within two weeks after commencement of the demolition work; ____________ percent must be paid ____________ weeks thereafter; and the remaining ____________ percent of the amount must be paid within ____________ days after the completion of the work, provided the work has been performed, in Owner's reasonable opinion, in accordance with the terms and conditions of this Demolition Agreement.
15. This Demolition Agreement is binding on and inures to the benefit of the successors and assigns of the parties to this Agreement.
