Services Agreement
 
 
 
This Service Agreement (the “Agreement”) is dated as of ________________________, 20____, by and between __________________________________________________ (“Contractor”) and ______________________________________________ (“Client”) (collectively the “Parties”).
 
The Parties agree as follows:
 
1.  SERVICES:  The Client hereby engages the Contractor to provide clerical and administrative services for the Client. The services to be rendered by Contractor will include: typing, data entry, preparing memos, transcription, proof reading and editing, ______________________________ [add or delete any items] (hereinafter referred to as “Services”).
 
 
2.  TIME OF COMPLETION:  (Mark the applicable provision):
 
   The services described above shall be commenced on or before _________________, 20__, and shall be substantially completed by ______________________, 20__.  Time is of the essence.
 
   The services described above are ongoing, and shall be completed _______________ (e.g. weekly, bi-weekly, daily, etc.).

5.   Ownership:
 
All statements, reports and any other documents that the Contractor prepares for the Client hereunder shall be the sole property of the Client.  Any other documents created by Contractor, including general working papers and draft documents will remain the property of Contractor at all times. Upon termination of this Agreement the Contractor shall be entitled to retain all documents and any other information until payment in full of all outstanding fees.
 
6. Work For Hire:
 
The Work contributed by Contractor hereunder shall be considered a "work made for hire" as defined by the copyright laws of the United States.  Client shall be the sole and exclusive owner and copyright proprietor of all rights and title in and to the Work of Contractor in whatever stage of completion.  If for any reason the results and proceeds of Contractor services hereunder are determined at any time not to be a "work made for hire", Contractor hereby irrevocably transfer and assign to us all right, title and interest therein, including all copyrights, as well as all renewals and extensions thereto.7. Confidentiality:
 
Contractor acknowledges that he/she may receive or have access to information which relates to the Client, its operations, clientele or any other information concerning the business of the Client including but not limited to the names of its customers, phone numbers, e-mail addresses, marketing strategies, pending projects and proposals, and other proprietary information (the "Proprietary Information"). The Contractor further agrees not to disclose or communicate Proprietary Information in any way whatsoever. The Contractor acknowledges that the information described in this clause is material to the profitability of the Client. The Proprietary Information shall not include information that is already in the public domain or by way of brochures, newsletters or other media that may be released to the public by the Client from time to time.
 
8. Representations and Warranties: 
 
Contractor represents and warrants to the Client that:
 
(a)  It has the authority to perform its obligations under the Agreement;
 
(b) It has the necessary skills, experience and resources and is properly qualified to complete the Work to a marketable standard.
 
(c)  Contractor must immediately inform the Client of any matter that may at any time give rise to an actual or potential conflict of interest under this Agreement.
 
(d) The services to be provided under this Agreement are fit for their intended purpose.
 
9.  General Provisions:
 
(a)  All work shall be completed in a workmanship like manner, and if applicable, in compliance with all building codes and other applicable laws.
 
(b)  To the extent required by law all work shall be performed by individuals duly licenses and authorized by law to perform the work.
 
(c)  Contractor warrants that it is adequately insured for injury to its employees and others incurring loss or injury as a result of the acts of Contractor or its employees.
 
(d)  In the event Client shall fail to pay any periodic or installment payment due hereunder, Contractor may cease work without breach pending payment or resolution of dispute.
 
(e)  Contractor shall not be liable for any delay due to circumstance beyond its control.
 
(f)  Contractor is an independent contractor and not an employee of Client.
 
(g)   Any changes to this document must be signed by both Contractor and Client.
