Services Agreement


This Service Agreement (the “Agreement”) is dated as of ________________________, 20____, by and between __________________________________________________ (“Writer”) and ___________________________________________________ (“Client”) (collectively the “Parties”).
The Parties agree as follows:
1.  SERVICES:  The Writer will perform the services described below:
2.  TIME OF COMPLETION:  (Mark the applicable provision):
   The services described above shall be commenced on or before _________________, 20__, and shall be substantially completed by ______________________, 20__.  Time is of the essence.
   The services described above are ongoing, and shall be completed _______________ (e.g. weekly, bi-weekly, daily, etc.).

5. Work:
(a) Writer agrees to produce written materials such as text and articles (the “Work”) and deliver the Work by an agreed upon deadline. Writer agrees that Writer will be the sole author of the Work, which will be original work by Writer, free of plagiarism. Writer shall ensure that Work is not libelous or obscene, or knowingly infringe upon any copyright, right of privacy, proprietary right, right of publicity or any other right of a third party. Writer guarantees that all the materials, final deliverables Writer submits to Client are free of plagiarism, and that the facts and statements contained in the Work are accurate. Writer acknowledges that Client has the right to edit the Work as it deems appropriate for publication, and that Writer will cooperate with Client in editing and otherwise reviewing the Work prior to publication.
(b) If a judgement, whether preliminary, provisional or final, shall be rendered against the Client for the use of the Work or any part thereof by reason of any alleged infringement of copyright or any adverse claims arising regarding the Work, Writer will use its best efforts to cooperate with Client.
6. Work For Hire:
The Work contributed by Writer hereunder shall be considered a "work made for hire" as defined by the copyright laws of the United States. Client shall be the sole and exclusive owner and copyright proprietor of all rights and title in and to the Work of Writer in whatever stage of completion. If for any reason the results and proceeds of Writer services hereunder are determined at any time not to be a "work made for hire", Writer hereby irrevocably transfer and assign to us all right, title and interest therein, including all copyrights, as well as all renewals and extensions thereto.7. Confidentiality:
Writer acknowledges that he/she may receive or have access to information which relates to the Client, its operations, clientele or any other information concerning the business of the Client including but not limited to the names of its customers, phone numbers, e-mail addresses, marketing strategies, pending projects and proposals, and other proprietary information (the "Proprietary Information"). The Writer further agrees not to disclose or communicate Proprietary Information in any way whatsoever. The Writer acknowledges that the information described in this clause is material to the profitability of the Client. The Proprietary Information shall not include information that is already in the public domain or by way of brochures, newsletters or other media that may be released to the public by the Client from time to time.
8. Representations and Warranties
Writer represents and warrants to the Client that:
(a)  It has the authority to perform its obligations under the Agreement;
(b) It has the necessary skills, experience and resources and is properly qualified to complete the Work to a marketable standard.
(c)  Writer must immediately inform the Client of any matter that may at any time give rise to an actual or potential conflict of interest under this Agreement.
(d) The services to be provided under this Agreement are fit for their intended purpose.
9.  General Provisions:
(a)  All work shall be completed in a workmanship like manner, and if applicable, in compliance with all building codes and other applicable laws.
(b)  To the extent required by law all work shall be performed by individuals duly licenses and authorized by law to perform the work.
(c)  Writer warrants that it is adequately insured for injury to its employees and others incurring loss or injury as a result of the acts of Writer or its employees.
(d)  In the event Client shall fail to pay any periodic or installment payment due hereunder, Writer may cease work without breach pending payment or resolution of dispute.
(e)  Writer shall not be liable for any delay due to circumstance beyond its control.
(f)  Writer is an independent contractor and not an employee of Client.
(g)   Any changes to this document must be signed by both Writer and Client.
