This Tuition Reimbursement Agreement is between an employee who is attending a college or university and an employer who agrees to reimburse the employee for tuition. This agreement contains the names of the parties, brief description of the courses being taken and commencement date of the program. It also includes the total amount of tuition for the program and the amount which the employer agrees to reimburse. It also sets forth any events under which the obligation to pay the tuition would terminate. It is imperative that this agreement be clearly set out in writing. A written Tuition Reimbursement Agreement will be beneficial in the event there are disagreements or misunderstandings about an employee's reimbursement for tuition.

Tuition Reimbursement Agreement

 

 
THIS AGREEMENT made as of Date of Agreement between Name of Employee, of Address of Employee (the "Employee") and Name of Employer, of Address of Employer (the "Employer").
 
 
WHEREAS:
 
(A)   The Employee is an employee of the Employer;
 
(B)   In order to upgrade the skills of the Employee for the purposes of  employment with the Employer, the Employee has applied for and has been accepted into the Brief description of course being taken by Employee (ie. Executive MBA Program at XYZ University) (the "Program") commencing Commencement Date of Program and ending Completion Date of Program;
 
(C)   The total tuition fee for the Program is Total Tuition Fee (ie. $50,000) (the "Tuition"), which is payable in instalments over the term of the Program (each Tuition instalment being referred to as a "Tuition Payment"); and
 
(D)   the Employer has agreed to reimburse the Employee up to Aggregate Amount Employer has agreed to reimburse (ie. $45,000) of the amount of the Tuition, subject to the terms and conditions of this Agreement;
 
NOW THEREFORE in consideration of the mutual covenants and agreements contained in this Agreement, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
 
1.   Recitals. The Employee represents and warrants to the Employer that the factual statements made in the above recitals are true and correct in all material respects, and acknowledges that the Employer is relying on such representations and warranties in entering into this Agreement.
 
2.   Reimbursement by the Employer. Provided that a Repayment Event (as defined below) has not occurred, and subject to the terms and conditions of this Agreement, the Employer agrees to reimburse the Employee up to Aggregate Amount Employer has agreed to reimburse (ie. $45,000) of the Tuition in periodic payments as and when the each of the Tuition Payments respectively are due, and upon receipt of evidence satisfactory to it that the Employee has paid each of the said Tuition Payments. Notwithstanding the foregoing, the Employer may, in its sole discretion, make any payment directly to the institution holding the Program, in payment of the Tuition Payment then due and payable.
 
3.   Repayment Event. Upon the occurrence of any of the following events (a "Repayment Event"):
 
(a)   The employment of the Employee at the Employer terminates prior to the completion of the Program for any reason whatsoever, including resignation by the Employee, or dismissal by the Employer with or without cause; or
 
(b)   The Employee does not satisfactorily complete any portion of the Program, or withdraws from or is expelled from the Program,
 
the Employer's obligation to make any further Tuition Payments shall immediately cease, and the Employee shall, at the Employer's option, repay to the Employer all Tuition Payments reimbursed by the Employer up to that point in time.
 
4.   Set-Off. The Employee hereby authorizes and directs the Employer to set-off any and all amounts owing to the Employer under this Agreement against any amount owing by the Employer to the Employee, including but not limited to salary, wages, bonuses, commissions, vacation pay, termination pay and severance pay.
 
5.   Indemnity. The Employee hereby indemnifies and saves harmless the Employer from and against any and all suits, claims, actions, damages and other losses which the Employer suffers or incurs as a result of any governmental taxing authority assessing the reimbursement of the Tuition Payments hereunder as a benefit to the Employee.
 
6.   General. the Employer may assign all of its right, title and interest in, to and under this Agreement. The Employee may not assign any of its rights under or any interest in this Agreement. This Agreement shall enure to the benefit of and be binding upon the parties hereto and their respective personal representatives, successors and permitted assigns. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario.
