A furniture lease agreement involves the rental of furniture by a lessee from a lessor for residential or business purposes.  Such an agreement is helpful and necessary as it sets forth the terms and conditions of the arrangement.  For instance, what is the duration of the lease?  How much will lessee pay lessor to rent the furniture?  Who will be responsible for repairs and maintenance of the furniture?  Is the lessee required to retain insurance to protect against any damage?  Will there be an option to purchase?  These are all questions that will be answered in the lease.


Step-by-Step Instructions


Furniture Lease Agreement

The following instructions will walk you through each provision to help you fully understand the terms of your Lease.  The numbers below correspond with the respective provision within the Lease.

Heading: Fill in the date that the Lease is being entered into, and the name of each party (Lessor and the name of Lessee).

Section 1: Furniture. Provide the make, model number, and/or serial number of the furniture to be leased.

Section 2: Lease Term. Fill in the dates of the lease term.

Section 3: Termination.  Here, the parties may specify the amount of written notice required to cancel the Lease, where the other party fails to substantially perform with the terms of the Lease.  Also, the parties may specify any balances owed where Lessor cancels without fault.

Section 4: Payment.  Specify the amount of the monthly lease payments, the amount of any advance payment.  Specify when the payments shall be made, and whether the payments will be in the form of cash, check or credit card.

Subsection 5: Late Charges.  Specify when a payment will be considered late, and the amount of any late charge.

Subsection 6: Security Deposit.  Specify the amount of any security deposit.

Section 7: Charges, Taxes, Fees.  Set forth any charges, taxes and fees.

Section 8: Delivery and Acceptance.  Specify the delivery date, as well as the date by which Lessee shall have inspected the furniture and advised Lessor of any defects.

Section 9: Place of Use.  Specify the address or location where the furniture shall be used.

Section 10: Maintenance and Repair.  Specify the maintenance and repairs for which Lessor and Lessee are responsible.  Specify whether monthly payments will be prorated or abated while the furniture is being repaired or maintained.





Section 11: Insurance.  Specify the amount if insurance that Lessee shall be required to carry.



Section 12: Limitation on Liability. In this provision, Lessee assumes liability for any injury to person or damage to property which results directly or indirectly from the use, handling or transportation of the furniture during the Lease Term.

Section 13: Title.  Here, Lessor warrants that he/she/it is the lawful owner of the furniture, and that Lessee shall keep the furniture clear of all liens, claims or encumbrances.

Section 14: Return of Furniture.  Here, the Lessee agrees to return the furniture to Lessor in the same condition in which it was received, apart from normal wear and tear, which should be defined by the parties.  Also, this provision states that the Lessee is responsible for payments under the lease until the furniture is returned to Lessor.

Section 15: Warranties.  In this optional provision, Lessor may set forth any express warranties regarding the furniture.

Section 16: Option to Purchase.  Here, the parties may agree upon the purchase price for each item of furniture, should the Lessee choose to exercise the Option.

Section 17: Notice.  Fill in the mailing address of each party to be used for written notice.

Section 18: General Provisions.

Subsection (a): If either party wishes to modify this Lease in any way, this subsection states that the modification must be put in writing and signed by both parties.

Subsection (b): This subsection specifies the state whose laws shall be used to interpret the Lease.  Generally, this will be the state where the Lease is entered into.

Subsection (c): This subsection states that neither Lessor nor Lessee may assign any rights or duties under the Lease to a third party, without the consent of the non-assigning party.



Subsection (d): This subsection states that the headings used to describe each provision are not to be used in any determination as to the meaning of the provision itself.  Rather, the headings are for the parties' convenience only.

Subsection (e): This subsection specifies that the Lease is considered the complete agreement between the parties. Any prior agreements are invalid.



Subsection (f): This subsection states that if one or more provisions of the Lease are deemed unenforceable (e.g., by a court), that provision is severable from the rest of the Lease, which shall remain binding and enforceable on the parties.

Subsection (g): This subsection states that if one party breaches the Lease, and the non-breaching party seeks enforcement of the Lease in a court or other forum, the party who breached the Lease shall pay all reasonable attorneys' fees and costs incurred by the non-breaching party.

Signature Block.  Each party should sign and date two original Agreements.  Each party should retain an original for their reference.

FURNITURE LEASE AGREEMENT


This Furniture Lease Agreement (the “Lease”) is dated as of ____________________, 20____, by and between ___________________________________________________ (“Lessor”) and ________________________________________________________ (“Lessee”) (collectively the “Parties”).  The Parties agree as follows:

11.   INSURANCE:  Lessee, at his/her/its expense, shall keep the Furniture insured at its full value in the amount of __________________________Dollars ($__________), and for the term specified herein, against fire, theft and such other risks as Lessor may specify, with losses, if any, payable to Lessor.  Lessee shall, upon Lessor's request, deliver to Lessor such policies or other evidence of insurance, together with receipts for premiums paid thereunder.  Lessee shall promptly notify Lessor of any loss, damage, or incident that may give rise to an insurance claim.  Should Lessee fail to procure or maintain any such insurance, Lessor reserves the right to procure and pay for such insurance, and Lessee shall be obligated to pay any and all premiums on demand.  Lessee assumes all risk of loss or damage to any portion of the Furniture not covered by insurance.  Damage for any injury to the Furniture shall be based on the fair market value of the Furniture regardless of monthly payments paid or agreed.

12.   LIMITATION ON LIABILITY:  Lessee shall hold Lessor harmless for any claim, loss, damage or injury to any person or property arising, either directly or indirectly, from the use, handling or transportation of the Furniture during the Lease Term.

13.   TITLE:  Lessor represents and warrants that he/she/it is the lawful owner of the Furniture, that such Furniture is free from any and all liens, claims or encumbrances.  Title shall remain in Lessor's name exclusively, and Lessee shall keep the Furniture free from any and all liens, claims or encumbrances, and shall do or permit no act or thing whereby Lessors title or rights may be encumbered or impaired.  Lessee shall give Lessor immediate notice of any attachment or other judicial process affecting the Furniture, and shall indemnify and hold Lessor harmless from any loss or damage caused thereby.  Upon expiration or termination of the Lease, the Furniture shall be returned unencumbered to Lessor by Lessee.

14.   RETURN OF FURNITURE:  (Mark the applicable provision(s))

   Upon expiration or termination of the Lease, Lessee shall return the Furniture to Lessor in the same condition as when received by Lessee, reasonable wear and tear resulting from proper use thereof excepted.  The standard for determining unreasonable or excessive wear and use of the Furniture shall be as follows:

(d)   The headings of the sections herein are for convenience only, and shall not affect the meaning of the provisions of this Lease.

(e)   This Lease constitutes the entire agreement between the Lessor and the Lessee, and supersedes any prior understanding or representation of any kind preceding the date of this Lease.  There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Lease.

(f)   If any part or parts of this Lease shall be held unenforceable for any reason, the remainder of this Lease shall continue in full force and effect.  If any provision of this Lease is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited.

(g)   In the event that it becomes necessary to enforce any of the terms of this Lease, the defaulting party agrees to pay all reasonable attorneys' fees and costs incurred therein.

FURNITURE LEASE AGREEMENT


This Furniture Lease Agreement (the “Lease”) is dated as of ____________________, 20____, by and between ___________________________________________________ (“Lessor”) and ________________________________________________________ (“Lessee”) (collectively the “Parties”).  The Parties agree as follows:

11.   INSURANCE:  Lessee, at his/her/its expense, shall keep the Furniture insured at its full value in the amount of __________________________Dollars ($__________), and for the term specified herein, against fire, theft and such other risks as Lessor may specify, with losses, if any, payable to Lessor.  Lessee shall, upon Lessor's request, deliver to Lessor such policies or other evidence of insurance, together with receipts for premiums paid thereunder.  Lessee shall promptly notify Lessor of any loss, damage, or incident that may give rise to an insurance claim.  Should Lessee fail to procure or maintain any such insurance, Lessor reserves the right to procure and pay for such insurance, and Lessee shall be obligated to pay any and all premiums on demand.  Lessee assumes all risk of loss or damage to any portion of the Furniture not covered by insurance.  Damage for any injury to the Furniture shall be based on the fair market value of the Furniture regardless of monthly payments paid or agreed.

12.   LIMITATION ON LIABILITY:  Lessee shall hold Lessor harmless for any claim, loss, damage or injury to any person or property arising, either directly or indirectly, from the use, handling or transportation of the Furniture during the Lease Term.

13.   TITLE:  Lessor represents and warrants that he/she/it is the lawful owner of the Furniture, that such Furniture is free from any and all liens, claims or encumbrances.  Title shall remain in Lessor's name exclusively, and Lessee shall keep the Furniture free from any and all liens, claims or encumbrances, and shall do or permit no act or thing whereby Lessors title or rights may be encumbered or impaired.  Lessee shall give Lessor immediate notice of any attachment or other judicial process affecting the Furniture, and shall indemnify and hold Lessor harmless from any loss or damage caused thereby.  Upon expiration or termination of the Lease, the Furniture shall be returned unencumbered to Lessor by Lessee.

14.   RETURN OF FURNITURE:  (Mark the applicable provision(s))

18.   GENERAL PROVISIONS:

(a)   Any changes to this document must be signed by both Lessor and Lessee.

(b)   This Lease shall be governed by and construed in accordance with the laws of the State of ______________________.

(c)   Neither the Lessor nor the Lessee may assign this Lease without prior written consent from the non-assigning Party.

(d)   The headings of the sections herein are for convenience only, and shall not affect the meaning of the provisions of this Lease.

(e)   This Lease constitutes the entire agreement between the Lessor and the Lessee, and supersedes any prior understanding or representation of any kind preceding the date of this Lease.  There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Lease.

(f)   If any part or parts of this Lease shall be held unenforceable for any reason, the remainder of this Lease shall continue in full force and effect.  If any provision of this Lease is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited.

(g)   In the event that it becomes necessary to enforce any of the terms of this Lease, the defaulting party agrees to pay all reasonable attorneys' fees and costs incurred therein.
