This Home Video Licensing Agreement contains the following provisions:
- Parties: The names of the licensor and distributor and the title of the video or video collection;
- Term of License: Sets out the number of years the distributor can distribute the licensed video in the Licensed Territory;
- Reproduction: Distributor has the right to manufacture Video Grams (videodiscs, DVDโs and similar devices) of the original video but must have permission from licensor to make any alterations;
- Copyright: A statement of copyright must be stamped or imprinted on all video grams;
- Royalties: Licensor will receive a percentage of distributorโs gross receipts as royalties as defined in the agreement;
- Costs and Obligations: Distributor shall bear all costs and obligations regarding distribution of the video;
- Books and Records: Distributor shall maintain complete books and records with regard to all video sales which licensor has the right to examine upon giving reasonable notice;
- Breach of Agreement: Any breach will be resolved through binding arbitration;
- Signatures: The licensor and distributor must sign and date the agreement.
