- Individuals who are starting a new business in Virginia may require the Articles of Organization to officially establish their Limited Liability Company. This document is essential for outlining the company's structure and ensuring compliance with state regulations.
- Entrepreneurs looking to transition from a sole proprietorship to an LLC will need to file Articles of Organization. This process provides legal protection for personal assets and enhances credibility with clients and suppliers.

Do Not Use If:
- – This form is not appropriate for individuals looking to establish a business structure other than an LLC. For example, corporations or partnerships require different documentation and processes.
- – If you are not ready to officially start your business, filing the Articles of Organization may be premature. It's important to have a clear business plan and structure in place before submitting this document.
- – In situations where the business will operate under a different name than the one listed in the Articles of Organization, additional filings may be necessary. This form alone will not suffice for a 'doing business as' (DBA) registration.
- – If your business is already established and you are looking to change its structure, you may need to consider dissolution and reformation rather than simply filing new Articles of Organization.
- – For businesses operating in multiple states, this form is only applicable for Virginia. Additional filings will be required in other states to ensure compliance with local laws.
